Terms of Service
Sophia AI Sales
Effective date: 28 October 2026
One company, SOPHIA GENESIS LLC, operates both the public website sofia777-ai.com and Sophia AI Sales. These Terms of Service ("Terms") are the rules for using Sophia AI Sales. Please read them before you use the service.
1. Who we are
Sophia AI Sales is provided by SOPHIA GENESIS LLC (ТОВ «СОФІЯ ГЕНЕЗИС»), EDRPOU code 46166724, 26 Mykhaila Boichuka St., office 202, Kyiv, 01103, Ukraine, phone +38 (067) 508-52-30, email privacy@sofia777-ai.com ("we", "us", "Sophia Genesis").
2. Words we use
- Service — Sophia AI Sales: the AI sales assistant, the platform ai-sales.sofia777-ai.com, the administration panel admin.sofia777-ai.com, and related support.
- Client or you — the business (company or entrepreneur) that uses the Service.
- Users — your owners, employees and other people you allow to use the Service.
- End customers — people who send messages to you through the Service.
- Client content — everything you or your end customers put into the Service: business descriptions, knowledge files, questions and answers, settings, and conversations.
3. When these Terms apply
These Terms apply when you create an account, sign an order, or use the Service. If you accept them for a company, you confirm that you have the right to do so.
If you have a signed agreement with us, that agreement applies first. These Terms apply to everything the agreement does not cover.
4. Who can use the Service
The Service is for businesses only. It is not for personal or household use. Users must be at least 18 years old.
5. Your account
- Keep logins, passwords and two-factor codes secret.
- Give access only to people who need it, and remove access when they leave.
- You are responsible for what happens in your account.
- Tell us immediately at privacy@sofia777-ai.com if you think someone has accessed your account without permission.
6. What the Service does
The Service receives messages from your end customers through connected channels (Telegram, and Instagram and Facebook Messenger where available). It answers them with the help of AI, based on your settings and knowledge. It passes conversations to your managers when an end customer asks for a person or when your rules require it.
We may change, improve or remove features. If a change significantly reduces what you use, we tell you in advance.
7. AI can make mistakes
- AI replies are created automatically. They can be wrong, incomplete or out of date.
- The quality of replies depends on the information you give. Keep your prices, conditions and other facts correct and up to date.
- Check the Service regularly. Set rules for passing conversations to a manager. Your managers can take over any conversation at any time.
- We do not promise any sales result, conversion or specific outcome.
- You are responsible for what is said to your end customers in your name, including AI replies.
8. Your responsibilities
You must:
- use the Service in line with the law, including data protection, consumer protection and advertising law;
- have a legal basis to process your end customers' personal data through the Service;
- tell your end customers, in your own privacy notice, that you use an AI assistant and service providers, and how they can use their rights. You can link to our Privacy Policy;
- make sure you have the right to use all content you upload;
- follow the terms of the messaging platforms you connect (see section 10).
9. Acceptable use
You must not use the Service to:
- send spam or messages that people did not agree to receive;
- mislead, pressure or manipulate people, or give false information about products, prices or conditions;
- offer illegal goods or services, or goods and services that the connected platforms do not allow;
- give medical, legal or financial advice through AI without the checks required by law;
- target children;
- collect sensitive data (for example, about health) through AI without a legal basis;
- break the law or the rights of others;
- attack, overload or try to get unauthorised access to the Service, or copy or reverse-engineer it;
- pretend to be another person or business.
10. Messaging platforms and AI providers
The Service works with third-party platforms: Telegram, Meta (Instagram and Facebook Messenger), and AI providers (OpenAI and Anthropic). When you connect a platform, you must also follow its terms, including the Meta Platform Terms and Telegram's terms.
We do not control these platforms. They can change their rules, limit features or stop access. If a platform requires it, we may have to change or disconnect a channel. We are not responsible for platform outages or decisions.
11. Personal data
Our roles. For conversations with your end customers, you are the controller and we are the processor. For your account and your users' data, we are the controller. Our Privacy Policy explains how we handle data.
Our processing terms. When we process personal data on your behalf, we:
- process it only to provide the Service and on your documented instructions (these Terms, your settings, and your written requests);
- make sure our staff who have access keep it confidential;
- protect it with appropriate technical and organisational measures;
- use the service providers listed in our Privacy Policy. We tell you in advance about new providers, and you can object;
- help you to answer requests from end customers and to meet your data protection obligations;
- tell you without undue delay if we learn about a personal data breach;
- delete the data after the retention periods in our Privacy Policy, or return it at the end of the contract, unless the law requires us to keep it;
- give you the information you need to check that we meet these obligations.
Requests from your end customers. End customers can contact us directly. You instruct us to act on verified deletion requests that we receive directly. We inform you about each such request. If you have a legal reason to keep the data, tell us promptly, and in any case before the 30-day deadline.
If you need a separate data processing agreement, write to us.
12. Intellectual property
- You keep all rights to your client content.
- You give us the right to store, process and transmit your client content only as needed to provide, secure and support the Service.
- We keep all rights to the Service, our software, our methods and our brand.
- We do not use your client content to train AI models.
13. Confidentiality
Each party keeps the other party's non-public information confidential. Each party uses it only for the purposes of these Terms. This does not apply to information that is public, that the party already had, or that the law requires it to disclose.
14. Fees
Fees, the payment period and other commercial conditions are set in your order, invoice or agreement with us. Prices do not include taxes unless stated otherwise. If you do not pay on time, we may suspend the Service after we warn you.
15. Suspension and termination
- You can stop using the Service at any time, in line with your agreement.
- We may suspend or close your access if you seriously break these Terms, break the law, do not pay, or create a risk for the Service, other clients or end customers. If possible, we warn you first and give you time to fix the problem.
- After termination, we delete or return your data as described in section 11 and in our Privacy Policy.
16. Availability
We work to keep the Service available and secure. However, we do not promise that it will work without interruptions or errors. Interruptions can happen because of maintenance, problems with platforms or providers, or other events outside our control.
17. Limitation of liability
- We provide the Service "as is", to the extent the law allows.
- We are not liable for indirect losses, such as lost profit, lost sales or lost business opportunities.
- We are not liable for content that you add, for AI replies based on wrong information you gave, or for the actions of third-party platforms.
- Our total liability to you is limited to the fees you paid us for the Service in the 12 months before the event that caused the claim.
- These limits do not apply where the law does not allow them, including for damage caused intentionally.
18. Your liability
You are responsible for claims from third parties (including end customers and platforms) that come from your client content, your instructions, or your use of the Service against these Terms or the law. You compensate us for the losses that such claims cause us.
19. Force majeure
Neither party is responsible for a delay or failure caused by events it cannot reasonably control. These include war and martial law, power cuts, attacks on infrastructure, and outages of platforms or providers.
20. Governing law and disputes
The law of Ukraine applies to these Terms. We will first try to settle any dispute by negotiation. If we cannot settle it within 30 days, the dispute goes to the competent court in Kyiv, Ukraine.
21. Changes to these Terms
We may change these Terms. We publish the new version on this page with a new effective date. We inform you about important changes at least 30 days before they apply, by email or in the platform. If you continue to use the Service after that date, you accept the new Terms. If you do not agree, you can stop using the Service.
